1. Acceptance of Terms

By placing an order with Foundry Art Studio ("Foundry," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. These terms apply to all orders placed through our website, by email, or by phone. If you do not agree to these terms, please do not place an order.

2. Dealer Accounts

Access to our catalog and wholesale pricing requires an approved dealer account. To apply, you must submit a completed dealer application along with a valid resale certificate. Account approval is at Foundry's sole discretion.

You are responsible for maintaining the confidentiality of your account credentials. Wholesale pricing is confidential and may not be shared with unauthorized parties. Foundry reserves the right to suspend or terminate any account that violates these terms.

3. Orders & Pricing

Minimum Order

There is no minimum order amount. All orders are welcome regardless of size.

Pricing

All prices are quoted in U.S. dollars and reflect your current dealer tier. Pricing is subject to change without notice; however, confirmed orders will be honored at the price stated on your order acknowledgement. Pricing is confidential to your account and may not be disclosed to third parties.

Order Confirmation

Within one (1) business day of receiving your order, we will send an order acknowledgement confirming the items, pricing, estimated production timeline, and a cancel-by date. Please review this acknowledgement carefully and notify us immediately of any discrepancies.

4. Payment Terms

New Accounts

A 50% deposit is required at the time of order placement for all new dealer accounts. The remaining balance, plus any applicable shipping charges, will be invoiced at the time of shipment. First orders must be paid by credit card.

Established Accounts

After establishing a satisfactory payment history, dealers may apply for Net 30 payment terms. Credit approval requires three (3) to five (5) trade references and may take up to ten (10) business days. Foundry reserves the right to modify or revoke credit terms at any time.

Late Payments

Invoices not paid within the agreed terms are subject to a 1.5% monthly finance charge on the outstanding balance. Accounts more than 60 days past due may be placed on credit hold until the balance is resolved.

5. Production & Lead Times

All Foundry products are made to order at our Fort Lauderdale, Florida facility. Standard production lead times are as follows:

Lead times are estimates and may vary based on order volume and complexity. Foundry will notify you promptly if your order will exceed the estimated timeline. Rush production may be available for an additional 25% surcharge — please inquire at the time of ordering.

6. Cancellation Policy

Orders may be cancelled or modified before the cancel-by date stated on your order acknowledgement at no charge. All cancellation and modification requests must be submitted in writing to orders@foundryartstudio.com.

7. Order Holds & Storage

If you need to delay shipment of a completed order, please notify us in writing. Orders may be held for up to ten (10) business days from the original ship date at no charge. After ten days, a storage fee of $50 per pallet per month will apply. Orders not confirmed or collected within 30 days of completion may be cancelled, and the 20% restocking fee will apply.

8. Intellectual Property

All artwork images, room scene renders, catalog content, and marketing materials provided by Foundry Art Studio are the property of Foundry Art Studio or its licensors. Approved dealers are granted a limited, non-exclusive license to use these materials solely for the purpose of reselling Foundry products. This license does not extend to:

9. Limitation of Liability

Foundry Art Studio's total liability for any claim arising from or related to an order shall not exceed the purchase price of the affected item(s). In no event shall Foundry be liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or project delays.

Colors shown on screen may vary from the final product due to differences in monitor calibration, lighting conditions, and production processes. Foundry does not guarantee exact color matching to digital previews.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state or federal courts located in Broward County, Florida.

11. Changes to Terms

Foundry Art Studio reserves the right to update these Terms & Conditions at any time. Changes will be posted on this page with the updated date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
